Terms of Service

1. Acceptance of Terms

By accessing or using moojo.id’s services (the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, please do not use the Services.

2. Definitions

  • “Platform” refers to moojo.id and any embedded chatbot widgets, dashboards, or related interfaces.

  • “Brand” means any company or advertiser sponsoring AI chatbots on the Platform.

  • “Retailer” means any online store or e-commerce website integrating the moojo.id snippet.

  • “User” means any individual who interacts with a sponsored chatbot via the Platform.

3. Scope of Services

3.1 Provision of Chatbot Placement

  • Brands may sponsor AI chatbots (the “Chatbots”) that appear contextually on participating Retailer websites.

  • Retailers integrate a lightweight JavaScript snippet provided by moojo.id to enable Chatbot placement on their properties.

  • Chatbots can greet, answer questions, and guide Users toward conversion actions (e.g., product selection, purchase).

3.2 Access and Use

  • Retailers grant moojo.id a non-exclusive, worldwide license to display Chatbots on their said properties.

  • Brands grant moojo.id a non-exclusive license to use their creative assets (images, text, logos) solely for chatbot placement.

  • Users may interact with Chatbots; all Chatbot conversations are logged for performance reporting and quality improvement.

4. Brand Responsibilities

4.1 Creative & Compliance

  • Brands must supply accurate, non-misleading chatbot scripts, product images, and offers.

  • Chatbot content must comply with all applicable laws (e.g., consumer protection, intellectual property, advertising regulations).

  • Brands are responsible for ensuring that their chatbot experiences do not violate any Retailer guidelines.

4.2 Budget & Bidding

  • Brands set a budget and maximum cost-per-conversion (CPC) cap. moojo.id manages real-time bidding across integrated websites.

  • Brands are charged only for valid conversions or agreed KPI events (e.g., click-throughs, chat leads).

4.3 Monitoring & Termination

  • Brands are responsible for monitoring performance dashboards and ensuring chat experiences remain accurate.

  • moojo.id reserves the right to pause or terminate any chatbot if it detects fraudulent activity, compliance violations, or material errors.

5. Retailer Responsibilities

5.1 Integration & Placement

  • Retailers must install the JavaScript snippet exactly as provided.

  • They may whitelist or blacklist specific pages or categories for Chatbot appearance.

5.2 Revenue Share & Reporting

  • Retailers receive a pre-agreed percentage of each conversion attributed to a Chatbot.

  • moojo.id provides a real-time dashboard showing impressions, clicks, conversions, and revenue share.

5.3 Brand Safety & Content Control

  • Retailers can approve or reject Brands and specific Chatbot content before live deployment.

  • They may revoke consent at any time in the dashboard; moojo.id will cease Chatbot placements within 24 hours.

6. User Conduct

Users must not: (a) post spam, harassing, or illegal content to Chatbots; (b) attempt to reverse engineer or manipulate the Chatbot system; (c) violate any applicable laws.

moojo.id reserves the right to block or ban any User for policy violations.

7. Disclaimers & Limitations of Liability

7.1 No Warranty

THE SERVICES, INCLUDING ALL CHATBOTS, ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. MOOJO.ID DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

7.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOOJO.ID SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

MOOJO.ID’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT PAID TO MOOJO.ID BY THE BRAND, RETAILER (AS APPLICABLE) DURING THE SIX (6) MONTHS PRECEDING THE INCIDENT GIVING RISE TO LIABILITY.

8. Indemnification

Brands and Retailers each agree to indemnify, defend, and hold harmless moojo.id, its officers, directors, employees, and affiliates from any claim, demand, or damages (including reasonable attorneys’ fees) arising out of:

  • (a) Any violation of these Terms;

  • (b) Any content or data provided to moojo.id;

  • (c) Any breach of applicable laws or third-party rights (e.g., IP infringement).

9. Intellectual Property

  • moojo.id, and its licensors own all rights, title, and interest in the technology, software, and Chatbot platform (“Platform IP”).

  • Brands retain ownership of their trademarks, logos, and creative assets. They grant moojo.id a license to use those assets solely to deliver the Services.

  • Retailers retain all rights to their website content and grant moojo.id a license to display Chatbots on their properties.

10. Termination

  • Any party may terminate their relationship with moojo.id at any time by providing 30 days’ written notice.

  • moojo.id reserves the right to suspend or terminate the Services immediately if a party breaches any material term.

11. Governing Law & Dispute Resolution

  • These Terms are governed by the laws of Israel.

  • Any dispute arising under these Terms shall be resolved by binding arbitration in Tel-Aviv courts.

12. Changes to Terms

moojo.id may update these Terms at any time. We will notify Brands and Retailers of material changes by email or dashboard notification. Continued use of the Services after notice means acceptance of the updated Terms.
